HOW TO SET UP AN LLC IN GEORGIA
New business owners face countless challenges and to-do lists each and every day. If you are reading this and wondering if you really need to register your business to protect yourself from personal liability, the answer is almost always a resounding YES.
To register an LLC in this state, you must take these four steps:
1. Submit LLC Application.
The first step is to research available entity names by cross-referencing the registered business database. From there, complete an application for registration with the Georgia Secretary of State ("GA S.O.S."). Submit your $100.00 state filing fee, and your application will be sent to an examiner for review.
2. Obtain an EIN.
After your LLC registration application has been submitted to the GA S.O.S., obtain an Employer Identification Number via direct application to the IRS. This requires you to list the name of a responsible party for the business and provide their relevant identifying information.
3. Create an Operating Agreement.
An Operating Agreement is the internal governing document of the business and helps avoid misunderstandings down the road if a dispute arises over how the business should be managed and operated. This is especially important if there will be more than one owner of the business.
4. Set up a bank account.
In order to get the protections an LLC offers, you must not treat business funds like your personal debit card. It is thus vitally important that each new LLC create a business bank account in the name of the business once steps one through three have been completed and the business has been formally approved by the GA S.O.S. (typically 10-14 days after your application is submitted).
